Terms of Service

These Terms of Service ("Terms") constitute a legal agreement between you ("Customer," "you," or "your") and Breezy Assist ("we," "us," or "our"). By accessing or using the Breezy Assist platform, APIs, dashboard, or any related services (collectively, the "Service"), you agree to be bound by these Terms.
A note on terminology: In these Terms, "assistant" refers to the AI agents you create, configure, and run on the Service. We use the plain-English word "assistant" throughout this document; the terms "assistant" and "AI agent" mean the same thing.
If you do not agree to these Terms, do not use the Service.
1. Service Description
Breezy Assist provides a business-to-business (B2B) AI assistant platform. The Service includes:
- A secure runtime environment for creating and operating AI assistants
- Integration with large language model (LLM) providers using your own API credentials
- Assistant team collaboration, tool integrations (MCP), and knowledge base (RAG) capabilities
- Cost controls, PII redaction, audit logging, and governance features
- APIs and dashboard for configuration and monitoring
Beta Status: The Service is currently in beta. Features, availability, and pricing may change. We provide no guarantees of uptime or feature stability during beta.
AI-generated outputs. The Service operates large language models, and assistant responses are generated by AI. Outputs may be inaccurate, incomplete, or fabricated ("hallucinations"), and they are not a substitute for professional (including legal, financial, or medical) judgment. You are responsible for reviewing assistant outputs before relying on or acting on them. See Section 10 (Disclaimers).
AI-assisted development. Breezy Assist's software, and the starter templates we provide (including their system prompts and baseline knowledge base content), were developed with the assistance of AI tools. Template-specific terms are in Section 8.4.
2. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
You must be at least 18 years old and have the legal authority to bind your organization to these Terms.
3. Customer Responsibilities
As a B2B platform, you (the Customer) are the data controller for any end-user data processed through your assistants. You are responsible for:
- End-User Notice and Consent: Providing appropriate disclosures to your end users about data collection, AI processing, and conversation recording
- Lawful Basis: Ensuring you have a lawful basis for processing end-user data through the Service
- Content Compliance: Ensuring content processed through your assistants complies with applicable laws and our Acceptable Use Policy
- LLM Provider Terms: Complying with the terms of any LLM providers whose credentials you use (OpenAI, Anthropic, AWS Bedrock, etc.)
- Access Management: Managing user roles and permissions within your organization
- Retention Configuration: Configuring appropriate data retention periods for your compliance requirements
4. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Process protected health information (PHI) unless under a separate BAA
- Process payment card data in violation of PCI-DSS requirements
- Generate, store, or distribute illegal content, malware, or spam
- Attempt to circumvent security controls, rate limits, or cost limits
- Reverse engineer, decompile, or attempt to extract source code
- Interfere with or disrupt the Service or other customers' use
- Use the Service for competitive analysis or to build a competing product
- Resell or redistribute the Service without written authorization
We reserve the right to suspend or terminate accounts that violate this policy without prior notice.
5. Pricing and Payment
5.1 Subscription Tiers
The Service is offered in multiple tiers (Free, Starter, Pro, Enterprise) with different features and limits. Current pricing is displayed at breezyassist.com/#pricing.
5.2 Billing
- Usage-Based Billing: Paid tiers may include usage-based charges (e.g., assistant runtime hours) billed monthly in arrears
- Monthly Billing: Fixed subscription fees are billed monthly in advance
- Payment: Payments are processed via Stripe. You authorize us to charge your payment method
- Taxes: Prices exclude applicable taxes, which will be added where required
5.3 LLM Provider Costs
You are responsible for all costs incurred with your LLM providers (OpenAI, Anthropic, AWS, etc.). Breezy Assist provides cost controls and limits, but these are not guarantees against provider charges.
5.4 Refunds
Subscription fees are non-refundable except as required by law. If you cancel, you retain access until the end of your billing period.
6. Data Processing
6.1 Data Roles
- Customer: Data Controller (you determine the purposes and means of processing)
- Breezy Assist: Data Processor (we process data only to provide the Service per your instructions)
- LLM Providers: Subprocessors (they process prompts and generate responses)
6.2 What We Process
- Account Data: Names, emails, authentication identifiers, billing information
- Conversation Content: Messages between your end users and assistants (subject to PII redaction)
- Metadata: Timestamps, token counts, model identifiers, error codes
- Configuration: Assistant settings, prompts, knowledge base documents
6.3 PII Redaction
We automatically redact certain PII (emails, phone numbers, SSNs, credit card numbers, IP addresses) from audit logs. Redaction is designed to reduce risk but is not guaranteed to catch all sensitive data. You remain responsible for not sending prohibited data types.
6.4 Data Retention
- Assistant audit logs: Configurable retention (7-365 days depending on tier)
- Compliance audit logs: 7-year retention (not configurable)
- Account deletion: Deleting your organization removes all associated data
6.5 No Training on Customer Data
Breezy Assist does not use your content or end-user data to train our models or for product improvement beyond providing the Service to you. LLM provider data usage is governed by their respective terms.
6.6 Subprocessors
A list of subprocessors is available upon request. We will notify you of material changes to subprocessors.
7. Security
We implement technical and organizational measures to protect your data, including:
- Per-customer KMS encryption (AES-256-GCM envelope encryption)
- TLS 1.2+ encryption in transit
- Container isolation with non-root execution
- Role-based access control (RBAC)
- Comprehensive audit logging
- Network segmentation

8. Intellectual Property
8.1 Our IP
The Service, including all software, documentation, and trademarks, is owned by Breezy Assist or its licensors. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service during the subscription term.
8.2 Your Content
You retain all rights to your content (prompts, knowledge base documents, assistant configurations). You grant us a limited license to process your content solely to provide the Service.
8.3 Feedback
If you give us feedback or suggestions, we may use them without owing you anything in return.
8.4 Templates
We provide starter templates (for example, paralegal, customer-support, and lead-qualifier assistants) as starting configurations only. These templates — including their system prompts and baseline knowledge base content — were created with the assistance of AI tools and have not been reviewed or verified by a licensed professional. Templates are not professional, legal, medical, or financial advice, and they are not certified for any specific jurisdiction, regulatory regime, industry, or use case. The paralegal template in particular produces AI-generated content that is not legal advice; have qualified professionals review any template before relying on it.
The moment you deploy or modify a template, it becomes your assistant configuration. You accept responsibility for that assistant's outputs and operation in the same way you would for an assistant you built from scratch — including responsibility for reviewing the template, customizing it for your use case, and confirming it meets the laws and standards that apply to you before relying on its outputs.
We retain all rights in the unmodified template content we author (system prompts, baseline knowledge base documents, and similar materials). We grant you a limited, non-exclusive, non-transferable license to use, modify, and run that content through the Service during your subscription term. This Section 8.4 does not narrow the disclaimers in Section 10 or your indemnification obligations in Section 12.
9. Confidentiality
Each side will protect the other's confidential information with reasonable care. Information is not confidential if it is publicly known, was developed independently, or was lawfully received from someone else.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." To the maximum extent the law allows, we disclaim all warranties — express or implied — including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Assistant outputs will be accurate, complete, or appropriate for your use case
- PII redaction will catch every instance of sensitive data
- The Service will meet any specific compliance requirement
- Starter templates we provide are appropriate for your jurisdiction, regulated industry, or specific use case without your own review and customization
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- We are not liable for lost profits, lost data, or business interruption
- Our total liability is capped at the fees you paid us in the 12 months before the claim
- We are not liable for charges you incur with your LLM providers
These limits apply no matter how the claim is framed — contract, tort, or otherwise.
12. Indemnification
You will indemnify, defend, and hold Breezy Assist harmless from any claim that comes from:
- Your use of the Service in violation of these Terms
- Your end users' use of assistants you deploy
- Content you process through the Service
- Your deployment, customization, or operation of any assistant — whether built from scratch or started from a Breezy template
- Your violation of applicable laws or third-party rights
13. Term and Termination
13.1 Term
These Terms are effective until terminated. Paid subscriptions renew automatically unless cancelled.
13.2 Termination by You
You may cancel your subscription at any time through the billing settings or by contacting us. Access continues until the end of your billing period.
13.3 Termination by Us
We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or if required by law. We may also discontinue the Service with 30 days' notice.
13.4 Effect of Termination
When the Terms end, your right to use the Service ends with them. Export your data first if you need it. We then delete your data according to our retention policy, except where the law requires us to keep it.
14. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
15. General Provisions
- Governing Law: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles
- Disputes: Any disputes will be resolved in the state or federal courts located in Delaware
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger or acquisition
- Severability: If any provision is unenforceable, the remaining provisions remain in effect
- Entire Agreement: These Terms, along with any DPA or order form, constitute the entire agreement
- No Waiver: Failure to enforce any right does not waive that right

By using Breezy Assist, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
